1. Introduction & Acceptance
These Terms and Conditions ("Terms") govern your access to and use of the GoLegal Comply platform (the "Platform"), operated by GoLegal Comply ("we", "us", or "our"). By accessing or using the Platform, you agree to be bound by these Terms, our Privacy Policy, and all applicable Indian laws including the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023, the Indian Contract Act, 1872, and the Consumer Protection Act, 2019.
If you do not agree with any part of these Terms, you must not access or use the Platform.
2. Definitions
- "Platform" means the GoLegal Comply website, application, APIs, and all related services.
- "User" or "You" means any person or entity accessing or using the Platform.
- "Services" means the DPDP compliance scanning, monitoring, reporting, and related tools offered through the Platform.
- "Content" means any text, data, reports, graphics, or other materials generated by or submitted to the Platform.
- "Scan Report" means the compliance assessment output generated by the Platform for a submitted website URL.
3. Eligibility
By using the Platform, you represent and warrant that:
- You are at least 18 years of age, as required under the Indian Contract Act, 1872 for entering into a valid contract
- You have the legal capacity and authority to enter into these Terms
- If you are using the Platform on behalf of an organisation, you have the authority to bind that organisation to these Terms
- Your use of the Platform does not violate any applicable law or regulation
4. Account Registration & Security
- You must provide accurate, complete, and current information during registration
- You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account
- You must immediately notify us of any unauthorised use of your account at support@thegolegal.com
- We reserve the right to suspend or terminate accounts that provide false or misleading information
- We may use third-party authentication providers (e.g., Google OAuth) for account access
5. Services & Platform Use
Our Platform provides DPDP Act compliance scanning and monitoring services. By using the Services, you acknowledge and agree that:
- Scan Reports are generated through automated analysis and are intended as informational guidance only
- Scan Reports do not constitute legal advice, legal opinion, or a certification of compliance under the DPDP Act or any other law
- You should consult qualified legal professionals for compliance decisions and legal advice
- Compliance scores and grades are based on automated checks and may not capture all aspects of regulatory compliance
- You are solely responsible for ensuring your website's full compliance with applicable laws
6. Acceptable Use Policy
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable Indian law
- Submit URLs of websites you are not authorised to scan or assess
- Attempt to gain unauthorised access to the Platform, other user accounts, or our systems (in violation of Section 43 and Section 66 of the IT Act)
- Interfere with or disrupt the Platform's functionality, servers, or networks
- Use automated scripts, bots, or crawlers to access the Platform beyond normal usage, except through our provided APIs
- Reverse-engineer, decompile, or disassemble any part of the Platform
- Transmit any viruses, malware, or harmful code through the Platform
- Impersonate any person or entity, or misrepresent your affiliation
- Use the Platform to send unsolicited communications or spam
- Reproduce, distribute, or create derivative works from the Platform without our express written permission
7. Intellectual Property Rights
All intellectual property in the Platform, including but not limited to software, algorithms, text, graphics, logos, trademarks, and the overall design, is owned by or licensed to GoLegal Comply and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable intellectual property laws of India.
- You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Platform for its intended purposes
- Scan Reports generated for your submitted URLs are licensed to you for your internal business use
- You retain ownership of the data you submit to the Platform
- You may not use our trademarks, logos, or branding without prior written consent
8. Payment Terms
If applicable to your use of the Platform:
- All fees are quoted in Indian Rupees (INR) unless stated otherwise
- Applicable taxes, including Goods and Services Tax (GST), will be charged as per prevailing rates
- Payment must be made through the designated payment channels on the Platform
- Refund requests will be handled in accordance with the Consumer Protection Act, 2019 and our refund policy
- We reserve the right to change pricing with reasonable advance notice to users
9. Disclaimer of Warranties
To the maximum extent permitted by applicable Indian law:
- The Platform and Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory
- We do not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or harmful components
- We do not warrant the accuracy, completeness, or reliability of any Scan Report or compliance assessment
- We disclaim all warranties of merchantability, fitness for a particular purpose, and non-infringement to the extent permitted by law
- No advice or information obtained through the Platform constitutes any warranty not expressly stated in these Terms
10. Limitation of Liability
To the fullest extent permitted under Indian law, including the Indian Contract Act, 1872:
- GoLegal Comply shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform
- Our total aggregate liability for all claims shall not exceed the amount paid by you (if any) in the 12 months preceding the claim
- We are not liable for any loss, penalty, or damage arising from your reliance on Scan Reports as legal advice or as a substitute for professional legal counsel
- We are not liable for any regulatory action, fine, or penalty imposed under the DPDP Act or other law, even if based on or related to our Scan Reports
- These limitations apply regardless of the legal theory on which the claim is based (contract, tort, negligence, strict liability, or otherwise)
11. Indemnification
You agree to indemnify, defend, and hold harmless GoLegal Comply, its directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:
- Your use or misuse of the Platform
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your infringement of any third-party intellectual property or privacy rights
- Any content or data you submit to the Platform
12. Termination
- You may terminate your account at any time by contacting us at support@thegolegal.com
- We may suspend or terminate your access at any time, with or without cause, including for breach of these Terms
- Upon termination, your right to access the Platform ceases immediately
- Provisions that by their nature should survive termination (including Sections 7, 9, 10, 11, and 16) shall continue to apply
- Upon termination, your personal data will be handled in accordance with our Privacy Policy and the DPDP Act
13. Information Technology Act Compliance
In compliance with the Information Technology Act, 2000 and its rules:
- This document is an electronic record generated by a computer system and does not require physical or digital signatures under Section 4 of the IT Act
- These Terms constitute a valid and binding agreement as an electronic contract under Section 10A of the IT Act read with the Indian Contract Act, 1872
- We publish these Terms in accordance with Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021
- Any violation of these Terms may result in action under the applicable provisions of the IT Act, including Sections 43, 66, 66C, 66D, and 72A
14. Consumer Protection
In accordance with the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020:
- We clearly display all material information about our Services prior to purchase
- We do not engage in unfair trade practices as defined under Section 2(47) of the Consumer Protection Act
- Users have the right to file complaints with the appropriate Consumer Disputes Redressal Commission
- Refund and cancellation terms comply with applicable consumer protection norms
15. Dispute Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms:
- Amicable Resolution: The parties shall first attempt to resolve the dispute amicably through good-faith negotiations within 30 days of written notice.
- Arbitration: If unresolved, the dispute shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties, and the seat of arbitration shall be in India.
- Jurisdiction: Subject to the above, the courts in India shall have exclusive jurisdiction.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, including but not limited to the Indian Contract Act, 1872, the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023, the Consumer Protection Act, 2019, the Copyright Act, 1957, and all applicable rules, regulations, and notifications issued thereunder.
17. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated to you via email or a prominent notice on the Platform at least 15 days before taking effect. Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms. If you do not agree with the changes, you must discontinue use of the Platform.
18. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
19. Entire Agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and GoLegal Comply regarding your use of the Platform and supersede all prior or contemporaneous agreements, understandings, or representations.
